ImmerVib General Terms and Conditions (GTC) | 常规销售条款
1. Applicability | 适用范围
These General Terms and Conditions (GTC) apply to all quotations, sales, and deliveries of products by ImmerVib, whether made online or offline, and regardless of the destination country. | 本常规销售条款（GTC）适用于ImmerVib提供的所有产品的报价、销售和交付，无论通过线上或线下进行，也不受目的国家限制。
2. Pricing and Currency | 价格与货币
All prices are quoted based on EXW (Ex Works) terms and are payable in either USD or CNY. Prices do not include VAT, shipping, customs duties, or any other applicable taxes or fees. All prices listed in the online shop are based on EXW terms and are shown in USD. CNY pricing is available for customers in China only. | 所有报价均基于EXW（工厂交货）条款，货币为美元（USD）或人民币（CNY）。报价不含增值税、运输费、关税及其他相关税费。在线商店中所示价格也均为EXW条款，货币为美元。人民币价格仅适用于中国客户。
3. Orders and Acceptance | 订单与接受
All orders can be confirmed via various channels including email, social media messaging (e.g., WeChat, Facebook Messenger, WhatsApp, etc.). All orders are subject to confirmation by ImmerVib. Quotations are non-binding until confirmed. | 所有订单可通过电子邮件、社交媒体信息（如微信、Facebook Messenger、WhatsApp等）等多种方式确认，须经ImmerVib确认方为有效。所有报价在确认前均不具有约束力。
4. Delivery and Risk Transfer | 交货与风险转移
Delivery is made according to EXW (Incoterms 2020). Risk transfers to the buyer upon handover to the carrier at the place of origin. | 交货基于EXW（国际贸易术语2020）。在货物移交给承运人时，风险即转移给买方。
5. Payment Terms | 付款条款
Full payment is required before delivery unless otherwise agreed in writing. Late payments may result in delayed delivery or cancellation. | 除非另有书面约定，交货前须支付全款。逾期付款可能导致交货延迟或订单取消。
6. Warranty | 保修条款
ImmerVib products are warranted against manufacturing defects for a period of 12 months from the date of delivery. The warranty does not cover damage caused by misuse, modification, or unauthorized repair. | ImmerVib产品自交付之日起保修12个月，仅限制造缺陷。因误用、改装或未经授权的维修造成的损坏不在保修范围内。
7. Returns and Refunds | 退货与退款
Returns are only accepted with prior written consent and must be made within 14 days of delivery. The product must be unused and in original packaging. Refunds exclude shipping and bank charges. | 退货需经书面同意，并须在交付后14天内提出。退回产品必须未使用且保持原包装。退款不包含运输及银行手续费。
8. Force Majeure | 不可抗力
ImmerVib shall not be liable for failure to fulfill its obligations due to circumstances beyond its reasonable control, including but not limited to natural disasters, war, embargoes, or transportation delays. | 因不可抗力事件导致无法履行义务时，ImmerVib不承担责任，包括但不限于自然灾害、战争、禁运或运输延误等。
9. Governing Law and Jurisdiction | 法律适用与争议解决
This GTC is governed by the laws of the People's Republic of China. Any disputes arising shall be submitted to the exclusive jurisdiction of the courts of Shenzhen. | 本销售条款受中华人民共和国法律管辖。所有争议应提交深圳法院专属管辖。
10. Language | 语言版本
In case of discrepancy between the English and Chinese versions, the Chinese version shall prevail. | 如中英文版本存在差异，以中文版为准。
